Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Redline Digital LLC ("Redline Digital," "we," "our," or "us"), a limited liability company organized under the laws of the State of Florida.

By signing a service agreement, submitting payment, or otherwise engaging Redline Digital for services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are signing on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Plain English: These are the rules of working together. They protect both you and us. Read them — especially the sections on fees, cancellation, and the results guarantee.
Services

Redline Digital provides digital marketing services for home service contractors, including but not limited to:

  • Google Ads campaign setup, management, and optimization
  • Google Business Profile (GMB) setup and optimization
  • Service Area Page (SAP) design and deployment
  • GoHighLevel (GHL) automation setup, including missed call texts and review requests
  • Conversion tracking and call tracking implementation
  • Local SEO growth management
  • Ongoing weekly campaign optimization and reporting

The specific scope of services will be defined in the proposal or service agreement provided to the Client prior to engagement. Redline Digital reserves the right to modify its service offerings with reasonable notice to active clients.

Redline Digital operates on an exclusive geography model — we do not take on multiple competing clients in the same service area and trade category. This exclusivity is guaranteed for the duration of the active service agreement.

Fees & Payment

Setup Fee. A one-time setup fee is required prior to the commencement of any work. This fee covers the full buildout of ad campaigns, landing pages, tracking systems, and GHL automations. The setup fee is non-refundable except as described in the Cancellation Policy below.

Monthly Retainer. An ongoing monthly retainer fee is charged for campaign management, optimization, reporting, and continued support. The first retainer payment is due 30 days after the campaign launch date, and recurs monthly thereafter for the duration of the agreement.

Payment Terms. All fees are due upon invoice. Retainer payments not received within 7 days of the due date may result in a pause or suspension of services. Redline Digital reserves the right to charge a late fee of 1.5% per month on balances outstanding beyond 30 days.

Price Adjustments. Retainer rates may be adjusted with 30 days' written notice to the client. Clients who do not agree to adjusted rates may terminate the agreement at the end of the current billing period without penalty.

6-Month Commitment

Digital advertising results are not instantaneous. Search campaigns require time to collect data, optimize for quality score, and build conversion history. For this reason, all Redline Digital service agreements carry a minimum commitment period of six (6) months, beginning on the date that ads go live.

The 6-month commitment exists to protect both parties:

  • It gives campaigns the time required to reach their full potential
  • It ensures Redline Digital can deliver on the results guarantee
  • It aligns the agency's incentives with the client's long-term growth

Clients who exit the agreement before the 6-month term is complete forfeit any claim to the results guarantee and remain responsible for all fees incurred through the date of termination.

Cancellation Policy

24-Hour Cancellation Window. A client who signs a service agreement and submits a setup fee may cancel within 24 hours of signing and receive 50% of their setup fee refunded. No work will have been performed during this window. To cancel, the client must notify Redline Digital in writing via email within 24 hours of the agreement execution timestamp.

14-Day Ad Launch Window. After ads go live, a client has 14 calendar days to evaluate whether they wish to continue. A client who notifies Redline Digital in writing within this 14-day window may exit the service agreement without incurring the remaining monthly retainer obligations. The setup fee remains non-refundable in this case.

After the 14-Day Window. Once the 14-day launch window has passed, the 6-month commitment is fully in effect. Early termination after this point does not relieve the client of their financial obligations for the remainder of the 6-month term unless otherwise agreed in writing by Redline Digital.

Cancellation After 6 Months. After the minimum commitment period is fulfilled, either party may terminate the agreement with 30 days' written notice. No penalty applies.

Results Guarantee

Redline Digital stands behind its work. If a client completes the full 6-month commitment and does not experience substantial results attributable to the services provided, Redline Digital will refund 50% of all retainer payments made during that term.

"Substantial results" means a measurable increase in inbound leads, calls, or booked jobs attributable to the Google Ads campaigns or GMB optimization work performed by Redline Digital. This is evaluated using conversion tracking data, call tracking records, and agreed-upon benchmarks documented at the outset of the engagement.

The results guarantee does not apply if:

  • The client failed to provide timely access, approvals, or information required to perform services
  • The client reduced, paused, or otherwise restricted ad spend below the agreed minimum during the term
  • The client terminated or materially altered the agreement before the 6-month term was complete
  • Results were negatively impacted by factors outside Redline Digital's control, including Google policy changes, market conditions, or the client's inability to follow up on leads
Example: $1,000/mo retainer × 6 months × 50% = $3,000 refunded if the guarantee is triggered.
Ad Spend

Google Ads spend ("ad spend") is separate from and in addition to the Redline Digital retainer fee. Ad spend is paid directly by the client to Google via the client's own Google Ads billing account or a billing account set up in the client's name.

Redline Digital does not markup, collect, or retain any portion of ad spend. The client maintains full visibility and control over their ad spend budget at all times.

Redline Digital will recommend a minimum ad spend based on the client's market, service area, and goals. Operating below the recommended minimum spend may reduce campaign effectiveness and is noted as an exclusion to the results guarantee.

Client Obligations

For Redline Digital to deliver results, clients agree to:

  • Provide accurate business information, credentials, and access to required accounts (Google Ads, GMB, website) in a timely manner
  • Respond to communications within 2 business days during onboarding
  • Maintain active Google Ads billing and fund the agreed minimum ad spend throughout the term
  • Follow up with leads promptly — Redline Digital generates leads but cannot control how they are handled by the client's sales process
  • Notify Redline Digital of any changes to services offered, service area, or business operations that may affect campaign targeting
  • Review and approve deliverables (ad copy, landing pages) within 5 business days of submission, or grant Redline Digital approval to proceed

Failure to fulfill these obligations in a way that materially affects campaign performance may void the results guarantee.

Intellectual Property

Client-Owned Assets. Upon completion of the 6-month minimum commitment and satisfaction of all outstanding fees, the client owns the landing pages, ad copy, and campaign structures built by Redline Digital on their behalf.

During Active Agreements. During the service term, all deliverables remain the working property of Redline Digital until the client's obligations under these Terms are fulfilled. Clients may not transfer, resell, or share Redline Digital's work product without written consent.

Redline Digital's Tools & Methods. Internal processes, automation frameworks, templates, reporting systems, and proprietary methods used by Redline Digital remain the exclusive property of Redline Digital and are not transferred to the client.

Limitation of Liability

Redline Digital warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However:

  • We do not guarantee specific lead volume, conversion rates, or revenue outcomes, except as described in the Results Guarantee section
  • We are not responsible for changes to Google's advertising policies, algorithm updates, or platform outages that affect campaign performance
  • We are not liable for the actions, decisions, or omissions of any third-party platform (Google, GHL, etc.)

In no event shall Redline Digital's total liability to a client exceed the total fees paid by that client in the 3 months immediately preceding the event giving rise to the claim. Redline Digital shall not be liable for indirect, incidental, consequential, or punitive damages of any kind.

Disputes & Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation is unsuccessful within 30 days, disputes shall be submitted to binding arbitration in Pasco County, Florida, under the rules of the American Arbitration Association.

Both parties waive any right to pursue disputes as a class action. Claims must be brought on an individual basis.

Termination

Redline Digital reserves the right to terminate a client agreement immediately, without refund of fees, if:

  • The client engages in fraudulent, abusive, or illegal activity
  • The client's account is materially delinquent and fails to cure after written notice
  • The client makes false representations that induced Redline Digital to enter the agreement
  • The client's business is shut down, abandoned, or ceases operations

Upon termination for any reason, Redline Digital will provide the client with a transition document outlining account access credentials and any deliverables owned by the client as of the termination date.
